Thank you for your interest to participate in Outfit7 Talent Camp (the "Outfit7 Talent Camp"). By applying to Outfit7 Talent Camp you agree to these Outfit7 Talent Camp Terms and Conditions (these "Terms").
Your application and participation in Outfit7 Talent Camp is subject to these Terms and you hereby represent that you are at least 18 years of age.
1. Definitions
"Company" means Outfit7 Neo Limited, with its registered address at Christaki Kranou 20, 1st Floor, 4041 Limassol, Cyprus, which is organising the Outfit7 Talent Camp event, and any of its affiliates, subsidiaries, and related companies.
As used in these Terms, "Company", "we", "us" or "our", "ours" refers to Outfit7 Neo Limited and its affiliates, subsidiaries, and related companies.
"Outfit7 Talent Camp" means Outfit7 organized industry event aimed at prospective talent, where Participants (as defined below) will present their experience and skills, learn some new insights of game development industry and engage in networking.
"Applicant" means any natural person who applies to the Outfit7 Talent Camp event by submitting an application in accordance with these Terms.
"Participant" means any person that is selected by the Company and further signs the Talent Camp Participation Agreement with the Company and/or attends the Outfit7 Talent Camp.
"Confidential Information" means any non-public information that relates to the actual or anticipated business or research and development of the Company, technical data, trade secrets or know-how, including, but not limited to, research, product plans or other information regarding Company's products or services and markets, customer lists and customers, personal data, software, developments, inventions, processes, formulas, technology, designs, drawing, engineering, hardware configuration information, marketing, finances or other business information. Confidential Information does not include information that (i) can be demonstrated by the Participant to be known to the Participant at the time of disclosure, (ii) has become publicly known and made generally available through no wrongful act of the Participant or (iii) has been rightfully received by the Participant from a third party who is authorized to make such disclosure.
"Intellectual Property" means patents, rights to Inventions, copyright and related rights, trademarks, trade names and domain names, semi-conductor topography rights, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world, owned or licensed to the Company; "Inventions" means inventions, ideas and improvements, whether or not patentable, and whether or not recorded in any medium owned or licensed to the Company.
2. General information
Any natural person can apply to participate at the Outfit7 Talent Camp by submitting an application on https://outfit7.com/talent-camp. There is no entry fee to apply. The Company shall publish a time frame and/or closing time for submitting applications. After this time the application form may no longer be available or the Company may, at its own discretion, disregard late applications.
The Company is under no binding obligation to offer any payment, compensation, reimbursement of out-of pocket expenses, reward, cash, or prize for participation in the Outfit7 Talent Camp.
The Company may at its sole discretion decide to assist the Participants with accommodation and/or with travelling arrangements to and from the location of the Outfit7 Talent Camp event. The Company is under no binding obligation to reimburse any expenses to any Applicant/Participant.
By agreeing to these Terms you represent and warrant that (i) you are at least 18 years of age and (ii) the information supplied within your application are true and correct, and, provided you will be selected to attend Outfit7 Talent Camp event, you (iii) will attend the Outfit7 Talent Camp event at your own risk and (iv) you will follow the instructions received by the Company, (v) you will identify to the Company with a valid passport or other identity document and (vi) you will obtain all necessary documents and permits that will allow you to travel and stay in the Republic of Slovenia prior to attending the Outfit7 Talent Camp, remain those valid for the duration of the Outfit7 Talent Camp, and upon request present a copy to the Company.
We will only accept individual applications; any group entries may be eligible for rejection. The Company will among all complete and timely applications (at the Company's sole discretion) select individuals that will be invited to participate on the Outfit7 Talent Camp event (i.e., to sign Talent Camp Participation Agreement and attend the Outfit7 Talent Camp). Participants will be chosen by the Company or independent adjudicator(s) appointed by the Company. The Company's decision on the selection is final and the Applicant that will not be selected has no right to appeal or recourse on the selection process. The Company shall be in no event obliged to enter into the Talent Camp Participation Agreement with any Applicant.
2. Confidentiality
The Participant will not, during or subsequent to the duration of Outfit7 Talent Camp, (i) use Confidential Information for any purpose whatsoever (for the Participant's own benefit or the benefit of a third party) other than for participation in the activities during the Outfit7 Talent Camp; or (ii) disclose Confidential Information to any third party or (iii) abandon due standard of care and therewith enable any person, firm, corporation or other entity to get access to any Confidential Information that the Participant obtains, accesses, or creates during the participation in Outfit7 Talent Camp. The Participant agrees that Confidential Information will remain the sole property of the Company. The Participant also agrees to take all reasonable precautions to prevent any unauthorized disclosure of Confidential Information.
The Company has received and in the future will receive from third parties their confidential or proprietary information subject to a duty on the Company's part to maintain the confidentiality of such information and to use it only for certain limited purposes. By agreeing to these Terms, the Participant agrees, represents, and warrants that, during the participation in Outfit7 Talent Camp and thereafter, the Participant will hold all such confidential or proprietary information in the strictest confidence and not to disclose it to any person, firm or corporation or to use it except as necessary in carrying out the activities during the Outfit7 Talent Camp.
The Applicants/the Participants shall not acquire any right under these Terms to use, and shall not use, the names "Outfit7," "Talking Friends", "Talking Tom and Friends" or the name of any other Company affiliate (either alone or in conjunction with or as a part of any other word or name) or any fanciful characters or designs of the Company.
3. Equipment and Premises
The Participants will need to bring their own equipment to the Outfit7 Talent Camp event (including, without limitation, computer, software, accesses to relevant applications and services or such other equipment) (collectively: Equipment) in order to actively participate in the Outfit7 Talent Camp event. The Company shall not be obliged to provide any equipment to any Participant. By agreeing to these Terms, the Participant undertakes, represents, and warrants to use solely licensed Equipment, which is registered in their name, for all work performed and products, results and proceeds created within the course of and in relation to the Outfit7 Talent Camp event.
Further, by agreeing to these Terms, the Participant agrees, represents, and warrants to use the premises and property of the Company with due diligence and will at all times comply with and respect the policies (including, without limitations, safety and house rules) of the Company (or other third person on the part of the Company) that regulate use of premises and property as may be presented or made available to the Participant prior to or during the Outfit7 Talent Camp event.
Upon the termination of the Outfit7 Talent Camp, or upon Company's earlier request, the Participant will deliver to the Company all of the Company's property, including but not limited to all electronically stored information and passwords or cards to access the premises, or Confidential Information, that the Participant may have in possession or control during the Outfit7 Talent Camp.
4. Intellectual Property Rights / Work Assignment
The Participant/the Applicant acknowledges the ownership, validity, unique and widespread celebrity, great value and goodwill of the Company's Intellectual Property and acknowledges that all rights therein (including trademark and copyright) and goodwill attached thereto belong exclusively to the Company.
The Participant shall during the course of Outfit7 Talent Camp create works that the Participant shall submit to the Company, including, without limitation, all works, and creations done and to be done in connection with the Outfit7 Talent Camp. All such materials, results and proceeds, created by the Participant and all drafts, outlines, and other preparatory materials shall collectively be called the "Work". The Participant warrants and represents that the Work shall be original and shall not infringe the rights of any third parties, and that Company has the exclusive right forever and throughout the universe to exploit the Work.
The Participant hereby grants to the Company a perpetual, worldwide, unlimited, irrevocable, non-exclusive, royalty-free, transferable, and sub-licensable right and license to use, reproduce, change, adapt, modify, combine with other materials, make derivative works, distribute, publish, publicly display and perform, and otherwise exploit the Work (and all intellectual property embedded therein or related thereto), including by all means and in all media, whether now known or hereafter invented or developed (including, also, without limitations the right to publish the Work, or any part thereof, on social and other global media for promotional purposes). When requested by the Company, the Participant shall perform all such acts and things and sign all documents and certificates which the Company may reasonably request in relation to herein above granted license to the Company.
Insofar the Work, or any part thereof, is based on or incorporates, in whole or in part, any of the Company's names, characters, logos, other Company's Intellectual Property or any Company's Confidential Information ("Company-Based Work"), the Participant hereby fully assigns and transfers to the Company all right, title and interest throughout the world in and to any such Company-Based Work and any and all Participant's results and proceeds connected thereto. The Participant shall waive all rights of "droit morale" or "moral rights of authors" or any similar rights or principles of law that the Participant may now or later have in the Company-Specific Deliverables to the extent permitted under applicable mandatory law. The Participant agrees that all Company-Based Work, and any and all Participant's results and proceeds connected thereto, are the sole property of the Company.
Should the Participant subsequently base or develop any content or product on the basis of or using, in whole or in part, the Work produced and/or created using the substantial input from Outfit7 ("Company-Supported Work"), the Participant agrees to, upon the Company's request, fully assign and transfer to the Company any and all right, title and interest throughout the world in and to any such subsequently created Company-Supported Work and any results and proceeds related thereto, including to duly execute all documents and certificates required for a valid assignment and/or transfer of such rights to the Company.
5. Privacy
Prior to submitting your application, please read Outfit7 Talent Camp Privacy Policy carefully to understand how and why your personal data will be used, namely for the purposes of processing your application and your participation on the Outfit7 Talent Camp, as well as for promotion of this event and other Company events, and how long it will be retained for. It provides you with certain information that must be provided under the General Data Protection Regulation ((EU) 2016/679) (GDPR) and laws implementing or supplementing the GDPR.
6. Indemnification and Liability Release
By accepting these Terms, you agree to indemnify and hold harmless the Company, its affiliates, subsidiaries and related companies, and their directors, officers and employees, from and against all taxes, losses, damages, liabilities, costs and expenses, including attorneys' fees and other legal expenses, arising directly or indirectly from or in connection with any reckless or intentionally wrongful act of yours and/or any breach of any of the covenants contained in these Terms.
You are aware and understand that participation in the Outfit7 Talent Camp may involve a risk of injury that cannot be eliminated regardless of the Company's degree of diligence. By accepting these Terms, you hereby voluntarily assume all risks associated with participation and agree to exonerate and save harmless the Company, its affiliates, subsidiaries and related companies, and their directors, officers, and employees, from and against all taxes, losses, damages, liabilities, costs and expenses, including attorneys' fees and other legal expenses, which may arise by or in connection with participation in any activities related to the Outfit7 Talent Camp, whether or not foreseeable, to the fullest extent permissible by applicable law. Moreover, by agreeing to these Terms you waive any and all claims for compensation that would arise or originate from your participation at the Outfit7 Talent Camp and related activities.
7. Publicity
The Participants shall not directly or indirectly issue any press release or any other publicity regarding or make any public statements concerning the Company (excluding posts on social media profiles according and subject to section 8 of these Terms, when posted from personal social media account), or any other matters regarding their participation in the Outfit7 Talent Camp without prior coordination with and approval by the Company, which may be granted or withheld in the Company's sole discretion.
8. Social Media Guidelines
The Participants may publish posts in all forms of social media, including Facebook, Tik Tok, LinkedIn, Instagram, and all other social networking sites, Internet postings and blogs.
The Participants are not allowed to make any social media communications that could damage Company's business interests or reputation, even indirectly; or defame or disparage Company, Company's staff or any third party; or harass, bully, or unlawfully discriminate against staff or third parties. Further the Participants shall not make any false or misleading statements; or impersonate colleagues or third parties.
The Participants are not allowed to express opinions on Company's behalf via social media. The Participant must not post comments about sensitive business-related topics, such as the Company performance, or do anything to jeopardize the Company's trade secrets, Confidential Information and Intellectual Property.
The Participants must make it clear in social media postings, or in their personal profile, that they are speaking on their own behalf, write in the first person and use their personal email address.
The Participants have to be respectful to others when making any statement on social media and be aware that they are personally responsible for all communications which will be published on the Internet for anyone to see.
The Participants may be required to remove any social media content that the Company considers to constitute a breach of these Guidelines.
The Participants shall ensure they have all relevant rights and permissions in the content included in the social media post they wish to publish, including to notify all persons included therein about the intent to publish such social media post and secure their consents to such posting.
Any social media post shall not depict the Company's Intellectual Property next to or in connection to any trademark or other copyrighted or otherwise protected material of any third-party as to imply any endorsement, sponsorship, or other connection of any kind between the Company and such third-party.
9. Videos and Photos
The Company may record the Outfit7 Talent Camp event, whereby your image, voice, appearance, and performance may be captured in a video recording and/or photos of the event. By accepting these Terms, you expressly agree that the Company shall hold any and all intellectual property rights and other proprietary rights (including, without limitation, copyright interests and publicity rights) in and to such recordings and/or photos in which you may appear. Subject to your consent, the Company may use such recordings and/or images for public display and/or broadcast in the media for the purpose of promotion of this and future Outfit7 events and Outfit7 brand. The Company will process recordings and/or images of you in accordance with the Outfit7 Talent Camp Privacy Policy and the terms of your consent.
10. Miscellaneous
The Company reserves the right to change dates, duration, location, or concept of the Outfit7 Talent Camp event, modify or cancel the event entirely, and/or amend these Terms without prior notice. Any changes will be notified to the Applicants/Participants as soon as reasonably possible by the Company. In such case, the Applicants/Participants shall not be entitled to claim compensation for any costs and/or loss or damage incurred.
These Terms, and the relationship established hereunder, shall be interpreted and construed in accordance with the laws of Cyprus, without regard to its principles of conflicts of laws, and with the same force and effect as if fully executed and performed therein. By accepting these Terms, the Applicant/Participant consents to exclusive jurisdiction of Cyprus courts.
The contractual relationship established hereinunder in no event represents candidacy for employment, employment relationship or any similar engagement of any Applicant and/or Participant with the Company.
If any clause or provision of these Terms is or becomes illegal, invalid, or unenforceable, such clause or provision shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.
